ITEM 1.02      Termination of a Material Definitive Agreement
     On May 21, 2007, CytRx Corporation (“we,” “us,” “CytRx” or the “Company”) and Mark L. Tepper, Ph.D., mutually agreed that Dr. Tepper will cease serving as our Senior Vice President — Drug Discovery, and will become a consultant to the Company in connection with the transition of our laboratory facility to San Diego, California. In connection with the change in his status, we have paid Dr. Tepper severance of $125,000 and agreed to continued medical and dental benefits to him and his family for a six-month period.
