ITEM 9. REGULATION FD DISCLOSURE
On June 18, 2003, First Community Bancshares, Inc. announced by press
release declaration of a 10% stock dividend to be distributed August 15, 2003 to
stockholders of record August 1, 2003. A copy of the press release is attached
