ITEM 8.01. OTHER EVENTS.
Private Offering
In a press release issued on June 6, 2007, Integra LifeSciences Holdings Corporation (the “Company”) announced the pricing of its offering of $150 million aggregate principal amount of senior convertible notes due 2010 and $150 million aggregate principal amount of senior convertible notes due 2012 (together, the “notes”) in a private placement, subject to market conditions and other factors. The Company has granted the initial purchasers of the notes options to purchase up to an additional $15 million aggregate principal amount of each series of notes, in each case within 13 days of the initial issuance of the notes.
A copy of the press release is filed herewith as Exhibit 99.1 and is incorporated herein by reference, and is being filed pursuant to Rule 135c under the Securities Act of 1933, as amended.
