Item 8.01 Other Events.
On February 27, 2015, Nathan’s Famous, Inc. issued a press release announcing that it priced an offering of $135.0 million aggregate principal amount of its 10.000% Senior Secured Notes due 2020 (the “Notes”). The offering was increased from a previously announced size of $125.0 million in aggregate principal amount of Notes. The Notes will be sold to qualified institutional buyers in accordance with Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”) and outside the United States in accordance with Regulation S under the Securities Act.
A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
