(a) - (c) The response of each of the Reporting Persons to Items 5
through 11 of each of their respective Cover Sheets which relate to the
beneficial ownership of the Common Stock of the Issuer, as of May 3, 2006, is
incorporated herein by reference. As of April 24, 2006, the Reporting Persons
beneficially owned as follows: SC Fundamental Value Fund, L.P. and SC
Fundamental LLC, 1,932,004 shares, 3.3%; SC Fundamental Value BVI, Ltd., SC-BVI
Partners, PMC-BVI, Inc. and SC Fundamental BVI, Inc., 1,567,996 shares, 2.7%;
Peter M. Collery, Neil H. Koffler and John T. Bird, 3,500,000 shares, 6.0%. The
percentage ownership of each of the Reporting Persons is based on 58,605,698
shares of Common Stock outstanding as of March 31, 2006, as reported by the
Issuer in its Annual Report on Form 10-K for the fiscal year ended December 31,
2005.
