Item 1.01 Entry into a Material Definitive Agreement.
 
On October 19, 2012, the Compensation Committee of Cedar Realty Trust, Inc. (the “Company”) approved new amended and restated employment agreements with various officers, including Brenda Walker, a named executive officer.  Under the terms of the new agreements, the employment of each officer was extended for three years until October 31, 2015, subject to various rights to terminate employment prior to such date.
