Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

In connection with his upcoming retirement, Allen Sirkin, the President and Chief Operating Officer of PVH Corp. (the “Company”), relinquished his title and duties as Chief Operating Officer on February 14, 2012.  Under the terms of his employment agreement, Mr. Sirkin will retire on June 21, 2012, the date of the Company’s 2012 Annual Meeting of Stockholders, relinquishing his remaining duties and title as President.

As part of transitioning Mr. Sirkin’s responsibilities, Michael Shaffer, the Company’s Executive Vice President and Chief Financial Officer, was appointed Executive Vice President and Chief Operating and Financial Officer on February 14, 2012.
