Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
 
(b) Rice M. Tilley, Jr., a member of the Board of Directors of Supreme Industries, Inc. (the "Company") has resigned as a member of the Company's Board of Directors effective February 21, 2005. To the knowledge of the Company's executive officers, Mr.Tilley's decision to resign as a member of the Board was not due to any disagreement with the Company's operations, policies or practices.
