Pursuant to the form of indemnification agreement filed as Exhibit 10.1 to the Registrants registration statement on Form F-4, as amended (File No. 333-173828), (the F-4 Registration Statement), we agree to indemnify our directors and officers against certain liabilities and expenses incurred by such persons in connection with claims made by reason of their being such a director or officer.
