ITEM 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On November 10, 2014, Mark A. Schwertfeger was appointed as principal accounting officer of Briggs & Stratton Corporation (the “Company”). Mr. Schwertfeger assumed the position of the Company's principal accounting officer from David J. Rodgers, Senior Vice President & Chief Financial Officer, and he will continue to report to Mr. Rodgers.
Mr. Schwertfeger, age 37, was elected as a Vice President of the Company effective September 2014 and has served as Controller since 2010. He previously served as International Controller of the Company since 2008. Prior to joining the Company, he held the position of Director at KPMG LLP.
Mr. Schwertfeger is a party to the Company's form of change of control employment agreement for new officers and the Company's form of officer employment agreement. Mr. Schwertfeger also participates in the Company's other compensation and benefit programs available to the Company's executive officers, which are described in the Company's 2014 annual meeting proxy statement.
