Item 8.01 Other Events.

On December 23, 2008, the Michigan Public Service Commission ("MPSC") approved a settlement agreement in Consumers Energy Company’s ("Company") gas rate case, increasing natural gas rates by approximately $22.4 million annually. (MPSC Case No. U-15506). In addition to the gas rate order, the MPSC also approved a partial settlement agreement in the Company’s gas depreciation case, reducing the Company’s annual depreciation expense by approximately $19.6 million per year until the MPSC issues a final order in the case. (MPSC Case No. U-15629).
