Item 1.01 Entry into a Material Definitive Agreement.

On May 4, 2006, the Company’s Board of Directors approved an adjustment to the annual compensation of Joseph H. Scarlett, Jr., Chairman of the Board. Mr. Scarlett’s annual compensation was adjusted to $350,000, consistent with a planned progressive reduction of his time commitment to the Company.

Mr. Scarlett will continue to serve as Chairman of the Board for the Company and support leadership development, as well as educational and cultural initiatives.
