Item 8.01. Other Events.

Kindred Healthcare, Inc., a Delaware corporation (“Kindred”) issued a chart in connection with the press release issued on February 7, 2011 with respect to the Agreement and Plan of Merger among Kindred, Kindred Healthcare Development, Inc., a Delaware corporation and a wholly owned subsidiary of Kindred, and RehabCare Group, Inc., a Delaware corporation. A copy of the chart is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
