On January 27, 2010, the Board of Directors of OPNET Technologies, Inc. adopted and approved a form of restricted stock agreement to be used for future restricted stock grants under the OPNET Technologies, Inc. 2010 Stock Incentive Plan, substantially in the form attached hereto as Exhibit 10.1 and incorporated herein by reference.
