Item 1.01 Entry Into Material Definitive Agreement.

On January 13, 2010, FMC Technologies, Inc. (the “Company”) entered into a $350 million revolving credit agreement (the “New Facility”) with Bank of America, N.A., as Administrative Agent. The New Facility matures in January 2013. The Company now has combined committed bank lines of $950 million, including the $350 million New Facility and a $600 million, five-year revolving credit facility that matures in December 2012. The Company’s expired $350 million, 364 - day credit facility ended in January 2010.
