REMOVAL OF SECURITIES FROM REGISTRATION

This Post-Effective Amendment No. 1 relates to the Registration Statement on Form S-3 filed on December 3, 2007 (Registration No. 333-147785) (the “Registration Statement”), of Transocean Inc. (“Transocean-Cayman”), which was deemed effective upon filing. The Registration Statement registered an indeterminate amount of debt securities, ordinary shares, preference shares and warrants (collectively, the “Securities”). Pursuant to the Registration Statement, $500 million principal amount of 5.25% Senior Notes due 2013, $1.0 billion principal amount of 6.00% Senior Notes due 2018, $1.0 billion principal amount of 6.80% Senior Notes due 2038, $2.2 billion principal amount of 1.625% Series A Convertible Senior Notes due 2037, $2.2 billion principal amount of 1.50% Series B Convertible Senior Notes due 2037 and $2.2 billion principal amount of 1.50% Series C Convertible Senior Notes due 2037 were issued and sold to the public.

On December 18, 2008, Transocean-Cayman merged by way of schemes of arrangement under Cayman Islands law with Transocean Cayman Ltd., a wholly-owned subsidiary of Transocean Ltd., a Swiss company (“Transocean-Switzerland”), with Transocean-Cayman as the surviving company (the “Transaction”). As a result of the Transaction, Transocean-Cayman became a wholly-owned subsidiary of Transocean-Switzerland. Transocean-Cayman has terminated all offerings of its securities pursuant to its existing registration statements, including the Registration Statement. In accordance with the undertaking of Transocean-Cayman in the Registration Statement, this Post-Effective Amendment is being filed to remove from registration all Securities not heretofore sold pursuant to the Registration Statement. The Registration Statement is hereby amended, as appropriate, to reflect the deregistration of such Securities.
