ON JULY 7, 2008, GLOBAL BPO SERVICES CORP. (“GBPO”) FILED WITH THE U.S. SECURITIES AND EXCHANGE COMMISSION (THE “SEC”) A DEFINITIVE PROXY STATEMENT IN CONNECTION WITH ITS PROPOSED MERGER WITH STREAM HOLDINGS CORPORATION (“STREAM”) AND COMMENCED MAILING THE DEFINITIVE PROXY STATEMENT AND OTHER RELEVANT DOCUMENTS TO GBPO STOCKHOLDERS. STOCKHOLDERS OF GBPO AND OTHER INTERESTED PERSONS ARE ADVISED TO READ GBPO’S DEFINITIVE PROXY STATEMENT AND ANY OTHER RELEVANT DOCUMENTS FILED BY GBPO WITH THE SEC IN CONNECTION WITH GBPO’S SOLICITATION OF PROXIES FOR THE ANNUAL MEETING OF STOCKHOLDERS TO BE HELD TO APPROVE THE PROPOSED MERGER BECAUSE THESE DOCUMENTS CONTAIN OR WILL CONTAIN IMPORTANT INFORMATION ABOUT STREAM, GBPO AND THE PROPOSED MERGER. Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 2, 2008, M. Benjamin Howe, a director of Global BPO Services Corp. (“GBPO”) notified GBPO that he intends to resign after the consummation of the merger pursuant to that certain Agreement and Plan of Merger, dated as of January 27, 2008, as amended, by and among GBPO, River Acquisition Subsidiary Corp., a Delaware corporation and wholly owned subsidiary of GBPO and Stream Holdings Corporation. Mr. Howe is resigning in order to avoid potential conflicts of interest that might otherwise arise from the investment banking services that might be rendered by America’s Growth Capital, an investment banking firm of which Mr. Howe is a co-founder and chief executive officer, to GBPO after the closing of the merger. Mr. Howe’s resignation will occur immediately following the closing of the merger which is expected to occur following GBPO’s annual meeting of stockholders on July 29, 2008.

There is no arrangement between America’s Growth Capital and GBPO as to investment banking services.
