Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 4, 2008, CVS Caremark Corporation (“CVS Caremark”) announced that Chris W. Bodine, Executive Vice President and President – CVS Caremark Health Care Services, has made the decision, for personal reasons, to scale back his day-to-day responsibilities and will begin transition to retirement in 2009. In connection with the planned transition, Mr. Bodine is assuming a new position as Special Advisor to the Chief Executive Officer of CVS Caremark. In this position he will retain responsibility for Trade Relations/Rx Purchasing and MinuteClinic, as well as an important role in the continued development of the Company’s new health care model and roadmap for its long-term growth.
