(d) On February 12, 2008, the Company announced the appointment of William D. McGuire to its Board of Directors effective February 8, 2008. Mr. McGuire will serve on the following Committees of the Company’s Board of Directors: Audit, Compensation and Nominating and Corporate Governance. Mr. McGuire will stand for election as a Director at the Company’s Annual Shareholders Meeting to be held in May. The full text of the press release issued in connection with the announcement is set forth in Exhibit 99.1 which is attached to this Current Report and incorporated by reference as if fully set forth herein.
