Effective January 1, 2007, Roger L. McCarthy, Chairman Emeritus and member of the Board of Directors retired from his management responsibilities at the Company, but will continue to be an active employee engaged in client work. On January 11, 2007, the Human Resources Committee of the Board approved an employment arrangement, which is attached as Exhibit 10.1 to this Report and incorporated herein by reference.
