EXPLANATORY NOTES

 

(1) The Company hereby files this Registration Statement on Form S-8 with the Commission to register 1,000,000 shares of Common Stock, $.01 par value, offered or to be offered to participants under the 2005 Employee Stock Purchase Plan (“Plan”) from time to time at prices determined in accordance with the Plan. This Registration Statement also covers such indeterminate number of additional shares which may be offered and issued pursuant to the Plan to prevent dilution resulting from stock splits, stock dividends, recapitalizations or similar transactions.

 

(2) Under the terms of the Plan, shares of commons stock formerly available for issuance (“Old Plan Shares”) under the Dollar Tree Stores, Inc. Employee Stock Purchase Plan, as amended (which has been terminated) have become available for issuance under the Plan. The Old Plan Shares were previously registered on the Company’s Registration Statement on Form S-8, Registration No. 33-92814, as amended. Such Registration Statement is incorporated herein by reference.
