On August 11, 2011, the Compensation Committee of the Board of Directors of Beacon Roofing Supply, Inc. (the "Company") adopted two forms of restricted stock unit award agreements for employees to be used under the Company's 2004 Stock Plan. The two forms of agreements are attached hereto as exhibits 10.1 and 10.2. No awards were made in connection with the adoption of these forms.
