Item 8.01.  Other Events.

On February 27, 2006, I.D. Systems, Inc. (the "Registrant") issued a press
release announcing that it has received a purchase order from a large U.S.-based
car rental company to deploy the Registrant's wireless fleet management system
at a car rental facility in a U.S. airport. A copy of the press release is
attached as Exhibit 99.1.
