This Amendment No. 2 amends the Schedule 13D/A filed by the Reporting Persons with the U.S. Securities and Exchange Commission (the “SEC”) on December 28, 2010 ("Amendment No. 1") to reflect the current ownership interest percentage of the Reporting Persons in the Issuer’s common stock, $0.005 par value (“Common Stock”). As of the filing of this Amendment No. 2, this change in ownership percentage resulted from the Reporting Persons having sold a total of 30,000 shares of Common Stock through a series of transactions pursuant to 10b5-1 Sales Plans dated December 8, 2010 and April 6, 2011.

Item 4.  Purpose of Transaction.

Each Reporting Person may acquire or dispose of shares of Common Stock from time to time for personal reasons.  Mr. Widmer may, in the ordinary course of acting in his capacity as Vice President of Corporate Quality Assurance and Industry Relations of the Company, engage in activities relating to the strategy, business, assets, operations, and financial condition of the Issuer.

On March 20, 2012, Mr. Widmer entered into a 10b5-1 Sales Plan with Merrill Lynch, Pierce, Fenner & Smith Incorporated (the “Broker”) in accordance with Rule 10b5-1 of the Securities Exchange Act of 1934, as amended, pursuant to which the Broker is authorized and directed to sell up to 50,000 shares of Common Stock for the period between April 19, 2012 and December 31, 2012, subject to satisfaction of certain events, including among others, sale price and volume limitations.

Item 5.  Interest in Securities of the Issuer.

(a)–(b)  Each of the Reporting Persons beneficially owns 995,000 shares of Common Stock, or 5.3 percent (based on 18,844,817 shares of Common Stock outstanding as of March 5, 2012, as reported on the Company's Annual Report on Form 10-K filed March 14, 2012).  Each of the Reporting Persons has shared power to direct the vote and shared power to dispose of 995,000 shares of Common Stock.

(c)           During the past 60 days, the Reporting Persons had no transactions in Common Stock.

Item 6.  Contracts, Arrangements, Understandings or Relationships with Respect to Securities of the Issuer.

The Plan described in Item 4 above was entered into between Mr. Widmer and the Broker effective March 20, 2012.  The Plan is structured to satisfy the conditions of Rule 10b5-1(c). Pursuant to the Plan, the Broker is authorized and directed to sell on Mr. Widmer’s behalf up to 50,000 shares of Common Stock between April 19, 2012 and December 31, 2012, subject to certain conditions, including, among others, trading price and volume limitations. The foregoing description does not purport to be complete and is qualified in its entirety by reference to the Plan, a copy of which is filed as Exhibit 99.3 to this Amendment No. 2.
