(1)         Estimated maximum aggregate number of additional shares of common stock of Argan, Inc. (the “Company” or the “Registrant”) available for issuance under the Argan, Inc. 2011 Stock Plan (the “Plan”).  The Plan was amended to add these additional shares at the Annual Meeting of Stockholders of the Company held on June 24, 2015.   Pursuant to Rule 416 of the Securities Act of 1933, as amended (“Securities Act”), this Registration Statement shall also cover an additional indeterminate number of shares of common stock of the Registrant as may be required pursuant to the Plan in the event of a stock dividend, stock split, recapitalization or other similar transaction without the receipt of consideration which results in an increase in the number of the Registrant’s outstanding shares of common stock.

EXPLANATORY NOTE

 

This Registration Statement relates to an additional 750,000 additional shares of common stock, par value $0.15 per share, of the Registrant that may be offered or sold to participants of the Plan. The Plan was amended to add these additional shares at the Annual Meeting of Stockholders of the Company held on June 24, 2015.    As a result of the amendment of the Plan, an aggregate of 2,000,000 shares were issuable under the Plan.

Our certificate of incorporation provides that none of our directors will be personally liable to us or our shareholders for monetary damages for breach of fiduciary duty as a director, except to the extent such exemption from liability or limitation thereof is not permitted under the Delaware General Corporation Law.

 

Our by-laws provide for indemnification of our officers and directors to the fullest extent permitted by applicable law. We also maintain directors’ and officers’ liability insurance policies.
