Item 2.02  Results of Operations and Financial Condition.

On July 24, 2007, UTStarcom, Inc., a Delaware corporation (“UTStarcom” or the “Company”), issued a press release entitled “UTStarcom Provides Select Preliminary Balance Sheet Liquidity Information as of June 30, 2007:  The Company Also Announces the Preliminary Results of its Review of Historical Equity Grant Award Practices; The Company Announces an Independent Review of Historical China Sales Contracts.”  A copy of the press release is furnished as Exhibit 99.1 to this report.
