Section 7 Regulation FD
Item 7.01 Regulation FD Disclosure.
On June 13, 2007, Portland General Electric Company (PGE or the Company) issued a press release announcing that the secondary offering of 21,000,000 shares of its common stock by the Enron Disputed Claims Reserve (the DCR) was priced at $26.00 per share. A copy of the press release is attached hereto as Exhibit 99.1.
Section 8 - Other Events
Item 8.01 Other Events.
On June 12, 2007, PGE and the DCR entered into an underwriting agreement with Deutsche Bank Securities Inc. and Lehman Brothers Inc., as representatives of the several underwriters named therein, in connection with the public offering and sale by the DCR of 21,000,000 shares of PGE common stock at a price of $26.00 per share. Pursuant to the terms of the underwriting agreement, the DCR also granted the underwriters a 30-day option to purchase up to an additional 2,658,106 shares of PGE common stock. PGE will not receive any of the proceeds from the sale of the shares. The shares are being offered and sold under a prospectus supplement and related prospectus filed with the Securities and Exchange Commission pursuant to the Companys automatic shelf registration statement on Form S-3ASR (No. 333-143472) (the Registration Statement), which was filed with the Securities and Exchange Commission on June 4, 2007. The closing of the offering is expected to occur on June 18, 2007, subject to the satisfaction of customary closing conditions.
