Item 2.02 Results of Operations and Financial Condition.
On May 15, 2007, Ebix, Inc. (the “Company”) issued a press release announcing its results of operations for its most recent fiscal quarter ended March 31, 2007. A copy of the related press release is being filed as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference in its entirety. The information in this Form 8-K and the exhibit attached hereto shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended, and shall not be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such filing.
Item 7.01 Regulation FD Disclosure.
On May 17, 2007, members of the Company’s management conducted a conference call to discuss the Company’s financial results for the first quarter of 2007. During the call Robin Raina acknowledged that Ebix has entered into a non-binding letter of intent to acquire another company.
