This prospectus supplement supplements the prospectus, dated October 6, 2006, relating to the resale by selling securityholders of up to $200 million aggregate principal amount of 2.75% Convertible Subordinated Notes due 2011 and the shares of common stock issuable upon conversion of the notes.
This prospectus supplement should be read in conjunction with the prospectus, and is qualified by reference to the prospectus, except to the extent that the information presented herein supersedes the information contained in the prospectus. Our common stock is quoted on the Nasdaq Global Select Market under the symbol COHR. On November 3, 2006, the last quoted sale price of our common stock was $32.55 per share.

In calculating this amount, we treated as outstanding the number of shares of common stock issuable upon conversion of all of that particular holders notes. However, we did not assume the conversion of any other holders notes.

Citadel Investment Group, L.L.C. (CIG) controls CLP. Kenneth C. Griffin controls CIG and therefore has ultimate investment discretion over securities held by Citdeal Equity Fund Ltd., CLP, CIG and Mr. Griffin each disclaim beneficial ownership of the shares held by Citadel Equity Fund Ltd.
