This
filing amends and restates the Current Report on Form 8-K filed by the Company
on September 24, 2007.

Departure
of Directors or Principal Officers; Election of Directors; Appointment
of
Principal Officers.
|
Effective
March 1, 2008, Jeffrey S. Osman will retire as President and Chief Executive
Officer of The York Water Company.
Effective
March 1, 2008, Jeffrey R. Hines will become President and Chief Executive
Officer of The York Water Company. Mr. Hines, age 46, has served The
York Water Company in various capacities since 1990. From January
2003 to December 2006 he was Vice President-Engineering and Secretary, and
from
January 2007 to the present he has been Chief Operating Officer and
Secretary. There is no arrangement or understanding between Mr. Hines
and any other persons pursuant to which he will be appointed President and
Chief
Executive Officer.
