Item 8.01.
Other Events.

On January 8, 2010, a subsidiary of Griffin Land & Nurseries, Inc. (“Griffin” or “Registrant”) closed on the acquisition of an approximate 120,000 square foot industrial building in Breinigsville, Pennsylvania.  The agreement to purchase this building was announced by the Registrant in a Current Report on Form 8-K filed November 25, 2009. The purchase price of the building, before closing costs, was $6.4 million.

Attached as Exhibit 99.1 to this Current Report is the Registrant’s January 11, 2010 press release announcing the closing on this acquisition.
