Regulation FD Disclosure.

On March 31, 2008, Griffin Land & Nurseries, Inc. (“Griffin” or the “Registrant”) issued a press release announcing that Griffin Land, its Connecticut and Massachusetts based real estate division, and the town of Simsbury, Connecticut signed agreements settling litigation related to Meadowood, Griffin Land’s proposed residential development.  Attached as Exhibit 99.1 to this Report is Griffin’s March 31, 2008 press release, which is hereby incorporated herein by reference.
